A yellow warning for rain will cover most of southern England, the East Midlands, and parts of Wales and Yorkshire.
Heavy rainfall is expected to begin on Wednesday evening, with up to 50 millimeters (2 inches) likely in some areas by early Thursday morning.
Strong winds could cause power cuts, transport disruption, and damage to buildings.
The Met Office said there is a small chance of injuries and danger to life from large waves and beach material being thrown onto seafronts and coastal roads.
